Wholesale (B2B) Terms & Conditions

1. Overview

These Wholesale Terms & Conditions (“Terms”) apply to all approved wholesale customers (“Wholesale Customer”, “you”) of Australian Natural Protein Company (“we”, “us”, “our”) who access and purchase products through our B2B portal.

By applying for, accessing, or placing orders through our wholesale portal, you agree to be bound by these Terms, in addition to our general website Terms & Conditions and Privacy Policy.

 


2. Eligibility & Account Approval

  • Wholesale access is strictly available to approved businesses only.

  • You must provide accurate and complete business information, including:

     

    • Business Name

    • ABN (or international equivalent)

    • Contact details

     

  • We reserve the right to approve or reject any application at our sole discretion.

  • Wholesale accounts are non-transferable.

 

 

3. Wholesale Pricing

 

  • Wholesale pricing is exclusive to approved B2B customers and must remain confidential.

  • Prices are subject to change at any time without prior notice.

  • All prices are listed in AUD unless otherwise stated.

  • GST will be applied where applicable.

 

 

4. Minimum Order Requirements

 

  • Minimum order quantities (MOQs) or minimum spend requirements may apply.

  • We reserve the right to modify MOQs at any time.

 

 

5. Ordering Process

 

  • Orders must be placed through the official B2B portal.

  • Once an order is placed, it cannot be modified or cancelled without our written approval.

  • We reserve the right to refuse or cancel orders at our discretion (including stock availability or suspected misuse).

 

 

6. Payment Terms

 

  • Payment is required at the time of purchase unless otherwise agreed in writing.

  • Accepted payment methods are those listed on our website.

  • Orders will not be processed or dispatched until full payment is received.

 

 

7. Shipping & Delivery

 

  • Shipping costs and delivery timeframes are calculated at checkout.

  • Risk of loss or damage passes to you upon dispatch.

  • We are not liable for delays caused by third-party carriers.

  • It is your responsibility to provide accurate delivery details.

 

 

8. Returns, Refunds & Damages

  • Wholesale customers may return products within 30 days of purchase, subject to approval.

  • We offer a 30-day money-back guarantee to end customers of our wholesale partners.

  • All end-customer return requests must be directed to and handled by Australian Natural Protein Company directly via info@ausnaturalprotein.com.

  • Wholesale customers must not process or accept returns on our behalf unless expressly authorised in writing.

  • Damaged, defective, or incorrect items must be reported within 48 hours of delivery.

  • Approved claims may result in replacement, credit, or refund at our discretion.

  • Proof (photos, batch numbers, etc.) may be required.

 

 

9. Product Storage & Handling

 

  • You are responsible for storing products in appropriate conditions as per guidelines.

  • We are not liable for product degradation due to improper storage or handling after delivery.

 

 

10. Resale & Brand Representation

 

  • Products must be resold in their original packaging and not altered.

  • You agree to represent the brand accurately and not make false or misleading claims.

  • We reserve the right to revoke wholesale access if brand integrity is compromised.

 

 

11. Online Sales & Marketplace Restrictions

 

  • You may not sell our products on third-party marketplaces (e.g., Amazon, eBay) without prior written approval.

  • Selling below recommended retail price (RRP) in a way that damages brand positioning may result in account termination.

 

 

12. Intellectual Property

 

  • All branding, logos, product names, and marketing materials remain the property of Australian Natural Protein Company.

  • You may only use approved brand assets provided by us.

 

 

13. Account Suspension & Termination

 

We reserve the right to suspend or terminate your wholesale account at any time if:

 

  • You breach these Terms

  • You misuse pricing or resell in unauthorized channels

  • Payment issues arise

  • Your conduct harms the brand

 

 

14. Limitation of Liability

 

To the fullest extent permitted by law:

 

  • We are not liable for indirect, incidental, or consequential damages.

  • Our total liability is limited to the value of the products purchased.

 

 

15. Compliance with Laws

 

  • You agree to comply with all applicable laws and regulations in your jurisdiction.

  • International customers are responsible for import duties, taxes, and compliance.

 

 

16. Amendments

 

We may update these Terms at any time. Continued use of the wholesale portal constitutes acceptance of the updated Terms.

HAPPY COWS & ETHICAL BUSINESS

Our whey comes from 100% healthy and well cared for Australian grass-fed dairy cattle. Our suppliers have a zero tolerance policy for any act of animal cruelty and the farms are routinely audited to ensure they are complying with excellent animal care standards. The dairy cows graze on the lush pastures of the south-western coast of Victoria. Being certified pasture-fed, means that for at least 70% of any year the cows diet consists of only the naturally occurring grass in the field in which they live. Outside of this, at times of the year when grass does not flourish, they are fed green vegetation (known as silage). In rare and extreme conditions such as drought, the cows will be fed Australian grains as a means of preservation.

This means we don't go for cost cutting alternatives at the expense of your best interest - your health. We are only interested in foods that are real, and don't mess up our gut flora. There is a problem in our current food industry that values dollars over health, and this is why we are having so many issues with the natural functions of our bodies. We make sure that our tastes are real which is why it's SO YUMMY. Our vanilla beans are straight from the vines and ground finely. Our cocoa beans are harvested organically and made from traditional methods for an intense flavour. The reason why the finest restaurants in the world use farm-to-table ingredients is simply because it's better. This is why we do this too.
